Board Composition
Functional Committee
The company has established functional committees: Audit Committee, Compensation Committee and Sustainable Development Management Committee
The Audit Committee and Compensation Committee currently consist of four independent directors, while the Sustainability Management Committee is composed of one independent director (convener) and two directors. Audit Committee
The Company's Audit Committee is composed of four independent directors, whose primary purpose is to oversee the following matters of the Company:
1. Appropriate presentation of the company's financial statements. 2. The selection and dismissal of the certifying accountant, as well as their independence and performance. 3. The effective implementation of the company's internal controls. 4. The company's compliance with relevant laws and regulations. 5. The management and control of the company's existing and potential risks.
Remuneration Committee
The Company's Compensation Committee, composed of four independent directors, was established to improve the Company's compensation system for directors and managers. It professionally and objectively evaluates the Company's compensation policies and systems for directors and managers and provides recommendations to the Board of Directors for its decision-making.
Sustainable Development Management Committee
The Company's Sustainable Development Management Committee was established to implement the Company's sustainable development goals, strengthen sustainable governance, improve the corporate governance structure, standardize the Company's sustainable development environment, safeguard social welfare, implement corporate governance work, and enhance the disclosure of corporate sustainable development information.
